1. Acceptance of Terms

By creating an account, accessing, or using BidGrizzly ("the Service", "we", "our", or "us"), operated at bidgrizzly.com, you agree to be bound by these Terms of Service. If you are entering into this agreement on behalf of a company, organization, or trade contracting entity, you represent that you have the authority to bind such entity to these Terms.

2. Nature of the Service & AI Intelligence Disclaimer

BidGrizzly provides AI-assisted municipal public procurement tracking, bid document ingestion, and notification services aggregated from publicly accessible government portals across Utah and participating jurisdictions.

Important Notice: While BidGrizzly uses automated AI technology to parse and summarize scopes, addenda, estimated valuations, and mandatory walkthrough dates, you acknowledge that government solicitations and contract documents are subject to change by issuing agencies. You are solely responsible for verifying final specifications, addenda, and submission deadlines directly with the official issuing procurement portal prior to submitting formal bids.

3. Subscriptions, Billing & Cancellations

• Billing Cycle: Paid subscriptions (Starter Sub, Pro Radar, Commercial / GC) are billed on a recurring monthly or annual basis via Stripe.
• Self-Service Cancellation: You may cancel your subscription at any time via the Stripe Customer Portal in your account dashboard. Upon cancellation, your account remains active until the end of your current paid billing period.
• Seat Allocation: User seats and team access are subject to the limitations of your selected subscription tier (Starter: 1 seat, Pro: 2 seats, Commercial: 5 seats).

4. User Conduct & Prohibited Uses

You agree not to reverse-engineer, scrape, redistribute, or resell the aggregated data feeds, API endpoints, or AI summaries provided by BidGrizzly to third parties without express written consent.

5. Limitation of Liability

In no event shall BidGrizzly or its affiliates be liable for any lost profits, lost contracts, bidding penalties, missed deadlines, or indirect damages resulting from your use of or inability to use the Service.
